Georgia Multi-Member LLC Operating Agreement

A Georgia multi-member operating agreement as defined in 14-11-101(18) allows for a contract to be made between the owners of a company, known as ‘Members’, in order to protect their interests. The agreement should detail the day-to-day activities, distributions of profits/revenue, and the ownership percentage (%) of each person in the LLC. All members should sign the agreement in front of a notary public to ensure it’s authenticity.

How to Write

The following information should be entered into the operating agreement. Much of the details can be found by looking up the entity information at the Secretary of State’s office and obtaining the original articles of organization.

The details below should be written:

  • Name of LLC
  • Date of Agreement
  • Member Names
  • Formation Details
  • Primary Business Purpose
  • Business Address
  • Registered Agent Name and Office Location
  • Members (up to four (4) with the option of adding more with an attachment)
  • Management
  • Officer(s) and their Role(s)
  • Meetings (Weekly, Bi-Annual, Annual)

Once the document has been signed it should be kept in a safe and accessible place such as a fireproof file cabinet or an attorney’s office.
