The Missouri LLC operating agreements are required under State Section 347.081 with every company formed in the State. This document outlines the ownership information in addition to the management structure and everyday operation of the business. For sole owners, this form is more important as proof that the company is a separate entity than their personal assets rather than just a shield that a court may not find to be separate from the individual’s assets.

How to Form an LLC in Missouri

Step 1 – Choose a name and search the Missouri Secretary of State’s Office to see if there is another one like it in it’s directory. If not, then you may use the name.

Step 2 – Complete the application. In Illinois the incorporator must fill in a document called the Articles of Organization. Select from one of the following types;

Domestic – For all companies that will be located within the State. If the individual would like to apply as a Series they must attach Addendum 1A.
Foreign – For all companies located outside the State seeking to conduct business and financial activity in Missouri. If the company would like to apply as a Series they must attach Addendum 4A.

Step 3 – The fee for applying for a company is $105 to be made payable to the ‘Missouri Secretary of State’.

Step 4 – Mail the Articles of Organization along with the check to the following address:

Optional – Apply for an EIN. While the LLC is processing. The owner(s) of the company may apply for an employer identification number and begin conducting financial activity on behalf of the entity. This number may be applied for at the Internal Revenue Service Website. Scroll to the bottom of the page and click on the link titled ‘APPLY ONLINE NOW’.
