For the state of Pennsylvania, we offer a Single and Multi-Member LLC Operating Agreements which are designed to protect the member(s) of an entity from damaging liability and are made to put all the members of an LLC into a contract that states ownership percentages and the members roles in the entity. However, there are other important benefits of the LLC Operating Agreement. Both the single and multi-member operating agreements allow for the creation of bylaws in a company, document the daily routine of the entity, and record the manager(s) and employees roles in the company. We highly recommend that an operating agreement be completed after an entity is created and filed with the Pennsylvania Secretary of State to ensure the company is organized and efficient. Below we give you the step-by-step process for filing your company with the secretary of state, which is the first step an aspiring entrepreneur should take.

How to File an Entity

Step 1: (Check Name Availability)

Scan the Pennsylvania Secretary of State Business Search Page for any companies that share the same entity name you plan on using for your own company. If your planned entity name is still available, continue on to Step 2.

Step 2: (Complete the Articles of Organization Form)

You have the option to either print out the online document and complete with black ink, or you can complete the fields online using your computer, and then print out the document. Either way, you will be utilizing one of the two (2) forms below.

Domestic – For all companies being originally created in the state of Pennsylvania.

Foreign – For already created companies that are being introduced to the state of Pennsylvania for the first time.

Step 2: (Pay the Filing Fee)

The fee for Domestic Applications is $125, where the fee for Foreign Applications is $250. Make all checks payable to the ‘Commonwealth of Pennsylvania’.

Step 3: (Mail)

Mail the completed Articles of Organization Form and the attached check to the below address:

– Once your entity has been created, one of our two (2) LLC Operating Agreements should be completed to protect and organize the member(s) of an entity, to document the daily routines of a company, and to allow the creation of bylaws within an entity.

– The owner of an entity should apply for an EIN (Employer Identification Number) at the IRS Website to be able to create a bank account in the company’s name.
