How to Create an LLC in Iowa

When starting an LLC in Iowa, it is best to select a company name that does not coincide with one already on file with the Secretary of State. The applicant can verify their name is unique by searching the business database.

Step 1 – After selecting the LLC name an applicant may apply online. On this page the applicant will want to click on the Certificate of Organization button for domestic entities, or click on the Certificate of Authority for foreign entities.

Officer(s)
Registered Agent Name and Address
Principal Office Address
Primary Business Purpose

Step 2 – At the end of the online session the applicant must pay the filing fee by credit card:

Domestic – $50
Foreign – $100

At this time the formation process is complete, the LLC should arrive in the standard mail within 7 to 10 business days.

EIN Number – If the company will be participating in financial transactions such as opening a bank account the entity will need an Employer Identification Number (EIN). An applicant can apply online for free with the IRS.
