The Kansas LLC operating agreements allow for the owner(s) of a company to create a bylaw that states how the company is run/managed and who owns which percent of the total entity. The form is not required when forming an LLC but is highly recommended. Companies that have more than one owner, or ‘Member’, should consider the agreement as it is the only form that states the ownership arrangement within the LLC.

How to Create an LLC

Step 1 – Select a business name by going to the Name Availability Checker and making sure the name you have selected does not already exist within the Kansas. After entering your name and no ‘matching listings’ appearing will you be able to go to the next step. See Approved Names (Statute 17-7673)

Online Filing

Step 2 – Register with the Secretary of State. The easiest way to do this is by going to their website and to Register or Login to the Online Business Center.

The applicant will be asked the following:
Member Names
Registered Agent Name
Registered Agent Address
Officer(s)
Manager(s)
Purpose of the Business
Fiscal Year
Ownership Percentage (%)

Step 3 – Pay the filing fee of $165 at the end of the session

*Helpful Note – If the company will be involved in financial transaction that includes banking, the entity will need to apply for an Employer Identification Number (EIN) with the IRS.

Paper Filing

Step 2 – Select the type of LLC you would like to create:
Articles of Organization (Form DL) – For any business that will be located in the State of Kansas.
Professional Articles of Organization (Form PDL) – Full list of uses may be found in Statute 17-2707
Foreign Application (Form FL) – For any business in existence outside the State seeking to operate in Kansas.
Series Articles of Organization (Form LAO)
Foreign Series Articles of Organization (Form LTB)

Step 3 – Pay the filing fee of $165 via check payable to the ‘Kansas Secretary of State’.

Step 4 – Send the form along with the filing fee to the following address:
