We offer two very necessary types of LLC Operating Agreements (Single and Multi-Member) for the state of North Dakota. Our Operating Agreements are designed to protect the member(s) of a company by limiting/removing any liability they previously had with the company. For companies with multiple owners, our agreement puts all the different members into a contract that states each member’s ownership percentage and role in the company. Additionally, our operating agreements document the daily routine of your company, allow for the creation of bylaws within your entity, and outline the roles of your employees. Before you can complete one of our LLC Operating Agreements, you must actually create your company. To do this, you have to utilize an Articles of Organization and file your new entity with the North Dakota Secretary of State. Below we give you the step-by-step process on creating your entity.

Step 1:

Ensure the name you plan on using for your company has not already been taken by scanning the North Dakota Secretary of State Business Search Page. If your name is still available, continue on to Step 2.

Step 2:

Complete the Articles of Organization Application. There are two different types of application, those who are domestic and foreign. Click on the one that fits your situation below:

Domestic – For all companies being originally created in North Dakota.

Foreign – For all companies looking to introduce an already created entity into North Dakota. (Must attach a Certificate of Good Standing or Certificate of Existence)

Step 3:

Attach a check of $135 payable to the North Dakota Secretary of State.

Step 4:

Mail both the completed application and the attached fee to the below address:

Useful Tips:

– Apply for an EIN (Employer Identification Number) online or by printing at the IRS’ website. An EIN Number allows you to create a bank account in your company’s name.
