For the state of South Carolina, we offer extremely necessary LLC Operating Agreements that have been designed to prevent the owner(s) of an entity from suffering financial loss as a result of company-linked liability. The operating agreements have also been designed to prove entity ownership, put all the member’s of an entity into a contract that states ownership percentages and roles in a company, allow for the creation of company by-laws, document the day-to-day routine of the company, and record the officer and employee’s purpose in the entity. Typically, one of the two (2) LLC Operating Agreements is completed after an entity is filed and/or created by utilizing an Articles of Organization form and sending to the South Carolina Secretary of State. Below we have created a step-by-step process to guide an entity owner in filing his or her company with the state of South Carolina.

How to File/Create an Entity:

Step 1: (Scan)

Scan the South Carolina Secretary of State website for any companies that already taken the name you plan on using for your own entity. If your planned entity name is still available, continue on to Step 2.

Step 2: (Complete Application)

Complete the Articles of Organization form by either filling-in on your computer (and eventually printing), or by downloading, printing and filling-in by hand with black ink. Below are the two different Articles or Organization applications forms. Click on the blue lettering to be brought to a download page.

Domestic: This form is for companies that will be created and filed in the state of South Carolina.

Foreign: This form is meant for companies that have been already created and filed in another state and are planning on opening an office in South Carolina.

Step 3: (Attach Fee and Prepare Filing)

Before sending the completed application, the following must be done:

– Make two (2) copies of the completed Articles of Organization Form

– Get a Self-Addressed Stamped Return Envelope

– Attach a fee of $110 payable to the South Carolina Secretary of State

Step 4: (Mail)
