How to File an Entity In South Dakota:

Step 1:

Go to the South Dakota Secretary of State Business Search page and look for any companies that have taken the name you plan on using for your own entity. If your planned name is still available, continue to Step 2.

Step 2:

Complete one of the Articles of Organization Forms below by clicking on the blue text downloading and printing the document.

Domestic – For companies that will be filed and created originally in the state of South Dakota.

Foreign – For companies that have already been created and filed in another state, and will be introducing a new business in the state of South Dakota.

NOTE: Make a copy of the completed Articles of Organization Form.

Step 3:

Attach the required filing fee for the application. Checks should be made out to the South Dakota ‘Secretary of State’.

For Domestic Applications, the filing fee is $150.
For Foreign Applications, the filing fee is $750.

Mail the completed Articles of Organization Form and the attached fee to the below address:

TIPS:

– Apply for an EIN (Employer Identification Number) at the IRS’ website to be able to create a bank account in your entity’s name.
