For the state of Virginia, we offer two (2) LLC Operating Agreements whose main purposes are to protect the member(s) of an entity from damaging liability, to put the different members of an entity into a contract that states ownership percentages and their roles in the company, to prove ownership of a company, and to generally protect a company both legally and financially. In addition to the above points, our LLC Operating Agreements also record the daily routine of an entity, document the different manager and employee positions, and allow for the creation of bylaws within an entity. One of our operating agreements can only be completed after a company has been filed and created with the Virginia Secretary of State. Below we give you the step-by-step process for doing just that.

How to File an Entity in the state of Virginia:

Step1 (Check Name Availability):

Scan the Virginia Secretary of State Business Search Page to ensure another company has not already taken the name you plan using for your company. If your planned entity name is still available, continue to the next step.

Step 2 (Complete the Application):

Note: There are two completion options, either online or by print.

Option 1 (Online):

(This option is only for Domestic entities) Go to the Secretary of State’s online filing system and create an account, complete the application, and pay the $100 filing fee at the end of the session.

Option 2 (Print):

Click one of the blue, underlined links that fit your situation below, download and print the document, and then complete the application.

Domestic – The Domestic Application is for entities that will be originally created in the state of Virginia.

Foreign – This Foreign Application is for companies that have already been created in another state and are introducing a business into Virginia for the first time.

Professional – This type of application is for entities that hold professional license(s) like an attorney or medical office.

Next, after the application has been completed, attach a check of $100 payable to the Virginia Secretary of State, and mail to the below address:
