How to Form an LLC in Michigan

1. Choose a Name

An LLC name may be reserved for 180 days in the State of Michigan. Search the Corporations Division’s records to determine whether or not a desired name is available.

2. Choose an LLC Type

Domestic LLC – For an LLC located within Michigan.

  • Online Filing – Select “700 – Articles of Organization,” then fill out the online form.
  • Paper Filing (Form CSCL/CD-700) – Complete the Articles of Organization form and submit with a check or money order for the filing fee to the Michigan Department of Licensing and Regulatory Affairs, Corporations, Securities & Commercial Licensing Bureau, Corporations Division, P.O. Box 30054, Lansing MI 48909. To hand-deliver the form, visit 2407 N. Grand River Ave., Lansing MI 48906.

Foreign LLC – For an LLC located outside Michigan.

  • Online Filing – Select “760 – Application for Certificate of Authority to Transact Business in Michigan,” then fill out the online form.
  • Paper Filing – Complete the Application for Certificate of Authority to Transact Business in Michigan form and submit with a check or money order for the filing fee to the Michigan Department of Licensing and Regulatory Affairs, Corporations, Securities & Commercial Licensing Bureau, Corporations Division, P.O. Box 30054, Lansing MI 48909. To hand-deliver the form, visit 2407 N. Grand River Ave., Lansing MI 48906.

3. Post-Formation

Once the paperwork has been processed, the next steps are to complete the following forms:

Name Reservation

  • Filing fee: $25

A name can be reserved for an applicant’s exclusive use for six months (§ 450.4205).

  • Paper Filing (Application for Reservation of Name) – A completed form and a $25 filing fee can be mailed to the Michigan Department of Licensing and Regulatory Affairs, Corporations, Securities & Commercial Licensing Bureau, Corporations Division, P.O. Box 30054, Lansing MI 48909 or delivered in person to 2407 N. Grand River Ave., Lansing MI 48906.

Renewing an LLC (Annual Statement)

Filing fee: $25

Every LLC in Michigan must file an annual statement not later than February 15, though LLCs formed after September 30 are not required to file the statement in the year immediately following their registration (MCL § 450.4207).

  • Online Filing – Sign in using the LLC’s Customer ID Number and PIN number, then follow the prompts.
  • Paper Filing – Send an annual statement and payment for the filing fee to P.O. Box 30768 Lansing MI 48909. Annual statements may also be delivered in person to 2501 Woodlake Circle, Okemos, MI. Checks can be made payable to the State of Michigan.

Dissolving an LLC

Filing fee: $10

An LLC can be dissolved with the filing and execution of a certificate of dissolution (§ 450.4804).

  • Online Filing – Sign in using the LLC’s Customer ID Number and PIN number, then follow the prompts.
  • Paper Filing (Form CSCL/CD731) – A Certificate of Dissolution and a nonrefundable fee of $10 should be sent to the Michigan Department of Licensing and Regulatory Affairs, Corporations, Securities & Commercial Licensing Bureau, Corporations Division, P.O. Box 30054, Lansing MI 48909 or, alternatively, hand-delivered to 2407 N. Grand River Ave., Lansing MI 48906.

“Operating agreement” means a written agreement by the member of a limited liability company that has 1 member, or between all of the members of a limited liability company that has more than 1 member, pertaining to the affairs of the limited liability company and the conduct of its business. The term includes any provision in the articles of organization pertaining to the affairs of the limited liability company and the conduct of its business.
