The Tennessee single member LLC operating agreement is How to Write Step 1 –

For the state of Tennessee, we have designed two very useful and popular types of LLC Operating Agreements that are meant to organize and protect certain parts of an entity. The two operating agreements we offer are called Single and Multi-Member; both are very similar and only differ in the fact that one is used for one-owner entities and the other is for entities with multiple owners. The Multi-Member Operating Agreement puts all the members of an entity into a contract that states each member’s ownership percentage and their different roles in the company. The agreement also allows for the creation of certain bylaws within an entity, documents the daily routine of a company, limits member liability, proves ownership of the entity, and records the different roles/purposes of the manager(s) and employee(s) of a company. The Single Member Operating Agreement does all the following above except the sections referring to multiple co-owners. Before one of our operating agreements can be utilized, an entity has to be actually created and filed with the Tennessee Secretary of State by using an Articles of Organization Form, which is what we show you how to do step-by-step below.

How to File/Utilize an Articles of Organization Form:

NOTE: Scan the Tennessee Secretary of State Business Search page for any companies that have already taken the name you planned on naming your own entity. If your planned entity name is still available, continue on to either option 1 or 2.

Option 1: (Online)

Go to the Tennessee Secretary of State Application page and follow the steps on the site for filing your new entity, which will most likely take 10-15 minutes. The filing fee will cost $300 and will be required at the end of the application. Once the application is complete, it will take roughly a week for your new LLC to arrive to arrive in the mail.

Option 2: (Standard)

Download one of the two different applications below (Domestic and Foreign) and print once completed, or print and fill out by hand in black ink.

Domestic – For companies that are being created originally in Tennessee.

Foreign – For companies that have been created and filed in another state, and are looking to introduce their business into the state of Tennessee.

Once the Articles of Organization form is complete, attach a check of $300 and send to the address below:

NOTE: If there are more than six members in the entity, an extra $50 must be added to the application. There is a limit of $3,000.

Helpful Tips:

– Go to the IRS’ website to apply for an EIN (Employer Identification Number) which allows a bank account to be opened in the company’s name. You have the option to either apply online or through a paper application.

– Utilize one of our two (2) Tennessee LLC Operating Agreements to ensure your entity is legally protected and organized, and to ensure the entity owner is protected from damaging liability.
