An Alaska multi-member LLC operating agreement is a document that records the ownership while establishing the rules of a company. The agreement is not filed with the Secretary of State but should be kept by each company member (owner).
In addition to detailing the company’s ownership, the agreement should include:
- The rights of each member;
- Names of each officer;
- Management (member or manager-managed);
- Principal office address;
- Registered agent, and
- How decisions will be made (e.g. majority vote, a unanimous vote, etc.).
