How to Form an LLC in Wyoming
- Filing fee: $100 for domestic LLCs, $150 for foreign LLCs
- Processing time: 15 days
1. Choose a Name
Browse the state’s database to determine whether the chosen name for the LLC is taken or available for use. A name can be reserved for 120 days as paperwork is being processed.
2. Choose an LLC Type
Domestic LLC – For an LLC located within Wyoming.
- Online Filing – Click “Start Now!” to begin the process of filing online.
- Paper Filing – Complete an Articles of Organization form and send with the filing fee to Herschler Building East, Suite 101 122 W 25th Street Cheyenne, WY 82002-0020.
Foreign LLC – For an LLC located outside Wyoming.
- Online Filing – Click “Start Now!” to begin the process of filing online.
- Paper Filing – Complete the Application for Certificate of Authority and send with the filing fee to Herschler Building East, Suite 101 122 W 25th Street Cheyenne, WY 82002-0020. The form must be accompanied by an original certificate of existence/good standing dated not more than 60 days before filing.
3. Post-Formation
- LLC Operating Agreement – This agreement will codify the company’s policies, procedures, and plans.
- Federal Employer Identification Number (FEIN) – Select “Apply Online Now” in Step 3. See Publication 15 for a guide to paying tax as an employer in 2022.
Name Reservation
- Filing fee: $60
A name can be reserved for an applicant’s exclusive use for 120 days (§ 17-29-109).
- Paper Filing – Complete the Application for Reservation of Name and send with filing fee to Herschler Building East, Suite 101 122 W 25th Street Cheyenne, WY 82002-0020. Checks can be made payable to Wyoming Secretary of State. Wyoming does not accept online name reservation requests.
Renewing an LLC (Annual Report)
- Filing fee: $60
Every LLC must file an annual report every year on the first day of the anniversary month of the LLC’s formation. If the report is more than 60 days overdue, the entity can be dissolved (§ 17-29-209).
- Online Filing – Use the filing ID to find the business entity and file an annual report online.
Dissolving an LLC
Filing fee: $60
An LLC can be dissolved through the filing of articles of dissolution with the secretary of state (§ 17-29-702).

“Operating agreement” means the agreement, whether or not referred to as an operating agreement and whether oral, in a record, implied or in any combination thereof, of all the members of a limited liability company, including a sole member, concerning the matters described in W.S. 17-29-110(a). The term includes the agreement as amended or restated.
